we are in process of upgrading ODR from 7.5 to 8.1
one of the server is having RHEL 5.9
is this compatible with OD 8.1 ?

Accoring to the certifcation matrix no:
Red Hat Enterprise Linux ES/AS 6.x, 64-bit
However it may work. You can certainly try to install it. OD is usually pretty good on installs. That being said, there may be a shared library or 3 that are required and not available in 5.XI assume this is a receiver. If you are using a sender, then you have to worry about other products (like TS) which I know won't work on 5.X
